What Should You Register: JDG or Sp. z o.o.?

Before starting a business in Poland, many Ukrainians ask themselves one question: should they register a JDG (sole proprietorship) or immediately open a Spółka z o.o. (limited liability company)? The answer depends on the scale of the business, the level of risk, and future plans.

JDG — Quick and Simple

JDG is suitable for those who work independently: freelancers, service professionals, consultants, specialists in the service sector, and small online stores.

Advantages:

  • free registration through CEIDG;
  • registration usually takes one day;
  • simplified accounting;
  • you can start operating quickly.

However, it is important to remember: the owner of a JDG is liable for the business’s debts with all of their personal assets.

Spółka z o.o. — More Protection

Spółka z o.o. is a separate legal entity. This form is more often suitable for companies with several founders, employees, investments, or higher financial risks.

Main advantages:

  • the liability of shareholders is generally limited to their contribution to the share capital;
  • greater trust from banks and large clients;
  • it is easier to attract partners and investors.

However, registration is more complicated: it is necessary to prepare incorporation documents, register the company in the National Court Register (KRS), and organize full accounting.

What Documents Do Ukrainians Need?

To start a business, the following are usually required:

  • a foreign passport;
  • a PESEL number (if required for the chosen procedure);
  • a document confirming the right to legal stay in Poland;
  • a business registration address or the company’s registered office address;
  • selection of PKD business activity codes;
  • for a Spółka z o.o. — the articles of association and details of all shareholders.

How Does the Registration Process Begin?

Regardless of the chosen legal form, you need to:

  1. Determine the type of business activity and select the appropriate PKD codes.
  2. Choose the taxation system.
  3. Prepare the documents.
  4. Register a JDG through CEIDG or a Spółka through KRS.
  5. If necessary, register as a VAT payer and complete the required notifications with the tax authorities and ZUS.

Conclusion: if you work independently and want to start your business quickly, JDG is usually the preferred option. If you plan to scale, work with partners, or want to limit your personal financial liability, a Spółka z o.o. is generally a more reliable solution.
